Terms and Conditions for OKX Smart Trade (UAE)

OKX Middle East Fintech FZE ("OKX")is regulated by the Virtual Assets Regulatory Authority (VARA) of Dubai. OKX holds a VASP Licence for VA Lending and Borrowing Services, VA Management and Investment Services, VA Exchange Services, and VA Broker-Dealer Services.

1. Overview

The OKX Smart Trade (UAE)("Service") is offered by OKX.
These Terms and Conditions shall supplement our UAE Terms of Service. In the event of any conflict or inconsistency of any term or provision set forth in these Terms and Conditions and our UAE Terms of Service, such conflict or inconsistency shall be resolved by giving precedence first to these Terms and Conditions.
You are advised that Virtual Assets are not subject to any form of deposit protection or insurance under the laws of the UAE.
By accessing the Service, you are deemed to have read, understood, and agreed to be bound by these Terms and Conditions.

2. Description of Service

2.1 Nature of the Service

The Service is an automated tool that facilitates OTC price quotation workflows only. Where available, it may also provide AI-generated market information features, including internal market-data tools, third-party news aggregation, market reports, and in-session pre-trade Q&A (the “ Market Information Features”). Its core function is to:

receive user requests for OTC price quotes;
deliver indicative quotes provided by OKX; and
return user confirmations or responses relating to those quotes.

2.2 No Transaction Authority

The Service does not execute trades, clear transactions, transfer assets, or bind either party to a transaction unless and until you separately authorise execution through OKX’s official platform workflows. Any OTC trade occurs only after:

you explicitly accept a quote; and
all required execution, funding, and confirmation steps are completed on the OKX platform.

2.3 Quotes and Market Conditions

All quotes provided through the Service:

are time-limited;
are subject to market volatility, liquidity conditions, and price movements; and
may expire, be withdrawn, or change before execution.

Execution at a quoted price is not guaranteed.

2.4 AI-Enabled Functionality

The Service uses artificial intelligence and machine-learning models to generate responses and facilitate quote communication, including the Market Information Features.

2.5 Operational Prompts

The Service may display prompts relating to account funding, balance sufficiency, or operational steps required to proceed. These prompts are purely functional and do not constitute investment, financial, tax, or legal advice.

2.6 Trading and Platform Limitations

OTC trades remain subject to platform-level limitations, including:

maximum order size thresholds;
liquidity availability;
technical or system constraints.

Orders may be partially filled or not executed. Partial execution does not constitute a system error.

2.7 No Advice or Fiduciary Relationship

All information provided by the Service is for informational purposes only. The Service does not act as an advisor, fiduciary, broker, or agent, and does not provide investment, trading, financial, tax, legal, or accounting advice.The Market Information Features do not constitute, and should not be understood as constituting, any recommendation, prediction, price target, position-sizing suggestion, or solicitation to buy, sell, or hold any digital asset.

3. Fees and Costs

3.1 Trading Fees and Markups

All OTC trades remain subject to applicable markups as disclosed on the OKX platform.

3.2 Service Fees

OKX reserves the right to charge fees for access to or use of the Service service (“Service Fees”). Where applicable, you agree to pay all such Service Fees.

3.3 Fee Updates

Fees may be updated from time to time. You are responsible for reviewing the applicable fee schedules prior to requesting or accepting any quote.

4. Risks and Client Protection Disclosures

4.1 Market Risk

Digital assets are highly volatile and involve significant risk. Prices may fluctuate rapidly, and losses may exceed expectations. Past performance is not indicative of future results.

4.2 Reliance Risk

You must not rely solely on Service outputs, including the Market Information Features, when making trading decisions. All market data and quote information must be independently verified.

4.3 AI and System Risk

The Service may generate incorrect or incomplete information due to technical limitations, faulty data inputs, system errors, or AI model behavior including through so-called “hallucinations”or unverified third-party news and data used in the Market Information Features. OKX provides no guarantees regarding the accuracy or reliability of information provided by the Service, including information provided by the Market InformationAnalysis Features. Figures are shown as of the timestamp indicated. You are solely responsible for independently verifying all information before acting on it.

4.4 Human Oversight and Safeguards

OKX maintains human-in-the-loop oversight and may suspend or terminate the Service using internal controls in the event of technical failures or market anomalies.

4.5 Extraordinary Events

In cases of market disruption, liquidity failure, system malfunction, or erroneous pricing, OKX may pause trading, cancel or reverse transactions, adjust balances, or take other corrective actions to maintain orderly markets.

4.6 Compliant Handling

Complaint Handling: You may register complaints regarding the Service through our dedicated portal at here. All complaints will be handled in accordance with VARA-mandated procedures.

5. Data Privacy and Governance

Certain chat interactions, device identifiers, usage analytics, trading actions following Service interactions,including your Market Information Features queries and generated outputs, for purposes including service improvement, security, compliance, and personalization, and account/funding activities may be collected to improve the Service, enhance security, satisfy compliance obligations under the UAE Data Protection Law and our Privacy Notice, and personalize the user experience.
All data collection and use is governed by Privacy Notice, which is incorporated into these Terms. By using the Service, you acknowledge that you have read and accepted the Privacy Notice.
All AI decision logs and interaction data are retained for a minimum of 2 (two) years for regulatory audit purposes.
In the event of market anomalies, flash crashes, liquidity failures, technical errors, faulty price feeds, or system malfunctions, OKX may pause trading, reverse orders, cancel transactions, adjust account balances, or take any action necessary to maintain orderly markets.
Users must not rely solely on the Service for decision-making, must comply with applicable laws, must avoid providing inaccurate information, and must safeguard their credentials.

6. User Obligations and Prohibited Conduct

6.1 User Responsibilities

You must:

comply with applicable laws and regulations;
provide accurate information;
safeguard account credentials; and
make independent decisions without sole reliance on the Service.

6.2 Market Abuse Prohibition

You must not use the Service to engage in wash trading, self-dealing, market manipulation, or any conduct that creates false or misleading market signals. Such conduct may result in immediate termination of access.

7. Disclaimers and Limitation of Liability

7.1 As-Is Service

The Service is provided “as is” and “as available,” without warranties of any kind.

7.2 Limitation of Liability

To the fullest extent permitted by law, OKX is not liable for indirect, incidental, consequential, or special damages. Total liability is limited to the fees paid for the transaction giving rise to the claim.

7.3 No Responsibility for Losses

OKX is not responsible for losses arising from reliance on Service-generated information or from market movements.

8. Amendments

OKX reserves the right to interpret the terms and conditions of this Service as it sees fit. It reserves the right to modify these terms and conditions at any time, exclude any participants from this Service, and/or cancel this Service without notice. Your continued use of the Service constitutes acceptance of the updated Terms.

9. Governing Law and Juridiction

Governing Law: These terms and conditions, and any non-contractual obligations arising out of or in connection with them, shall be governed by and construed in accordance with the laws of England and Wales.
Jurisdiction: You acknowledge and agree that in the event of any dispute or controversy, difference or claim including the existence, validity, interpretation, performance, breach or termination of these terms and conditions, or any dispute arising out of or relating to these terms and conditions in any manner whatsoever, the jurisdiction set out in our UAE Terms of Service, shall apply.
